Buyer may terminate this Agreement by sending a written cancellation notice within ten (10) days of the Effective Date without any penalty so long as such notice is received by Centair before the Goods have been manufactured to Buyer’s specifications and/or shipped. If Buyer’s cancellation notice is received after the Goods have been manufactured and/or shipped Buyer shall pay for any and all shipping, delivery, duties, taxes, and costs associated with the Goods being returned, and a restock fee of fifteen percent (15%) of the Purchase Price.
Centair may terminate this Agreement without cause, at any time, by written notice to Buyer. Upon such termination, Centair will reimburse Buyer for any and all payments received by Centair from Buyer within thirty (30) days after such notice is provided. Centair may terminate this Agreement, for cause, by written notice to Buyer in the event that: (i) Buyer fails to pay the Purchase Price as provided for herein; (ii) Buyer fails to pay any and all shipping costs and expenses as required herein within fifteen (15) days after receipt of an invoice from Centair, or (iii) Buyer violates any other material provision of this Agreement.
